These Terms of Service ("Terms") govern access to and use of NodePen, a web-based platform for running, sharing, and collaborating on Grasshopper scripts, provided by NodePen Ltd ("NodePen," "we," "us"), a company registered in England and Wales (company number 17257213). By creating an account or otherwise using the Service, you agree to these Terms.
You must be at least 18 years old to use the Service.
Accounts are held by individuals. An account may be associated with one or more Teams. You are responsible for keeping your login credentials secure and for activity that occurs under your account. You must provide accurate information when creating an account.
4.1 Tiers. NodePen currently offers:
4.2 Payment. Subscriptions are billed and processed through Stripe. By subscribing, you agree to Stripe's terms in addition to these.
4.3 Downgrades. If you downgrade a subscription, the change takes effect at the end of your current billing term.
4.4 Failed Payment. If a payment fails, you have a three-week grace period to resolve it, during which we will notify you in-app. If payment is not resolved within that period, your Team will be demoted to the next applicable tier.
4.5 Subscription Lapse. If a Team's subscription lapses, all assets remain viewable by Team members. Editing is restored once the subscription is brought current, or once the Team is reduced to a single member.
4.6 Cancellation and Refunds. You may cancel at any time. Cancellation stops future renewal; your tier remains active until the end of the current billing period, after which Section 4.5 applies. Except as required by law, fees are non-refundable.
4.7 AI Credits. AI Credits are a prepaid balance, held by a Team, that can be spent on AI Assistant usage and any other metered features we introduce. Credits are purchased through Stripe in the same manner as subscriptions (Section 4.2), at a fixed rate of 1,000 Credits per £1. The price and the number of Credits are both shown on the purchase itself before you pay.
4.8 Spending Credits. Using a metered feature — such as sending a message to the AI Assistant — debits Credits from your Team's balance at the time of use. The number of Credits a given request costs reflects the underlying resource cost of that specific request to us, and can vary — for example, with the length of a conversation or the complexity of what you asked the Assistant to do. It is not a flat fee per feature.
4.9 Negative Balances. We check that a Team has Credits before starting a metered request, not continuously while it runs, and a request already underway is completed and charged in full. A single request can therefore cost more Credits than the Team had left, taking the balance below zero. Where that happens, no further metered requests can be started until the balance is positive again, and the next Credits added to the Team — bought, granted, or redeemed — are applied to the shortfall first. We will not invoice you for a negative balance.
4.10 Cost of Operations. The rate at which a request's underlying cost is translated into Credits is set by us and may change over time — for example, if our own costs for providing a metered feature change. This changes how far your balance goes going forward; it does not reduce the number of Credits in your existing balance or apply retroactively to Credits already spent.
4.11 No Expiry, No Cash Value. Credits do not expire. They have no cash value, cannot be redeemed for cash, and cannot be transferred to another Team or account or used outside the Service.
4.12 Immediate Supply and Your Right to Cancel. Credits are digital content, supplied to your Team as soon as your payment clears. Before you buy, we ask you to confirm that you want them added straight away and that you understand doing so ends your right to cancel the purchase for a refund. We record that confirmation against the purchase. If you would rather keep your cancellation right, do not buy Credits — nothing else on the Service depends on them.
4.13 Credit Refunds. Except as required by law and subject to Section 4.12, Credit purchases are non-refundable, consistent with Section 4.6. Where a Credit purchase is refunded or reversed — by us, by you through your bank or card issuer, or because we are required to refund it — we remove the Credits that purchase added. If some or all of them have already been spent, this takes the Team's balance below zero and Section 4.9 applies. If a Team is deleted, its unused Credit balance is forfeited.
5.1 Ownership. You retain ownership of the scripts, models, and other content you create or upload ("Content"). These Terms grant only the licenses described below.
5.2 Private Scripts. Content you keep private is restricted to members of the owning Team. You grant NodePen a license to host, store, and run private Content solely to operate the Service for your Team. Any access to a Private Script by a party outside the Team — whether or not authorized — does not, by itself, grant that party any license to use, reproduce, or commercially exploit the script. When you use the AI Assistant, this license extends to transmitting the elements described in Section 11.2 to our AI service provider, solely to provide you the Assistant's response.
5.3 Public Scripts. When you make a script public, you grant NodePen a license to host, run, and publicly display it, and you grant other users a license to view it, create copies of it (including downloading it for offline use), and execute those copies. Public scripts may be used commercially. There is a single license scope for public scripts; it is not configurable per script.
5.4 Copies. Using "Save a copy" creates an independent copy of a script with no attribution to, and no ongoing link with, the original. Copies persist independently of the original, including if the original script or its Team is later deleted.
5.5 Team Ownership. Content created within a Team is owned by the Team, not by the individual member who created it. If a member leaves a Team or leaves the firm, the Team retains access to and ownership of that Content.
5.6 Account and Team Deletion. You must leave or delete all Team associations before deleting your account. If you leave a Team, Content you contributed remains with the Team. If a Team is deleted, its Content is deleted and is no longer visible or accessible, even if it was previously public. Independent copies made under Section 5.4 are unaffected.
5.7 Takedown Notices. If you believe Content on NodePen infringes your rights, contact support@nodepen.io with a description of the material and the basis for your claim. We may remove or disable access to Content in response to a valid notice and may notify the affected user.
5.8 Confidentiality. Content you keep private under Section 5.2, together with any other non-public information about your Team's workflows or usage of the Service that we learn while operating it, is treated as confidential. We disclose it only as needed to run the Service (including to the subprocessors listed in our Privacy Policy), in response to a valid notice under Section 5.7, or where required by law. Likewise, please treat any non-public information we share with you — such as unreleased features or bespoke pricing under Section 4.1 — as confidential.
When you run a script, NodePen retains the resulting solution, the version of the document that produced it, and any models you uploaded as inputs.
While your account and the relevant document remain active, this data is linked to your account and retained for the purposes of maintaining service quality, preventing abuse and fraud, resolving disputes, and product development, including aggregate and statistical analysis. You may request deletion of this data by contacting support@nodepen.io, and we will evaluate the request against these purposes and applicable law.
When you delete your account or a document, we remove the connection between this retained data and your identity. We may keep this anonymized data indefinitely to improve NodePen over time.

We may suspend or terminate accounts that violate this section.
The Service is provided "as is." NodePen does not warrant that solutions, geometry, or other outputs generated through the Service are correct, complete, or fit for any particular purpose. As with Grasshopper itself, you are responsible for verifying the correctness of anything you build — particularly before relying on it for structural, fabrication, code-compliance, or other safety-relevant purposes. This includes any changes proposed or made by the AI Assistant described in Section 11.
To the extent permitted by law, NodePen's total liability arising from these Terms or your use of the Service is limited to the amount you paid us in the 12 months before the claim arose — which is zero for anyone on the Free tier. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law. NodePen is not liable for indirect, incidental, or consequential damages.
9.1 General. You agree to indemnify and hold NodePen harmless from any third-party claim, liability, damages, or expense (including reasonable legal fees) arising from your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
9.2 High-Risk Use. Section 8 makes clear that you are responsible for verifying the correctness of anything you build with the Service — including changes proposed or made by the AI Assistant — before relying on it for structural, fabrication, code-compliance, or other safety-relevant purposes. If you don't, and a client, contractor, regulator, or other third party brings a claim against you arising from that reliance, you agree to indemnify NodePen against it.
You may export your Content at any time while your account and Team access remain active.
11.1 The Feature. NodePen offers an optional AI Assistant that can answer questions about your document and, at your direction, propose or make changes to it. It is powered by Claude, a model provided by Anthropic. The Assistant only acts when you open it and send it a message.
11.2 What We Send. When you use the AI Assistant, we send Anthropic your messages and the Assistant's prior replies in that conversation, together with the parts of your document needed to answer or act on your request. Today this includes the document's structure (which components are present, their position and wiring, and their enabled/visible state), component instance identifiers, the labels on any controls in the document's control panel, and NodePen's own component catalog and help text. As the Assistant's capabilities grow, this may expand to include computed values within your document — such as data-tree contents or slider and panel values — where needed to fulfil your request.
11.3 What We Don't Send. Regardless of how the Assistant's capabilities evolve, we do not send Anthropic anything that identifies you as a NodePen user — such as your account name, email address, or user id — your authentication credentials, or other personal data beyond what the feature needs to operate.
11.4 Anthropic's Use of Your Data. Anthropic processes what we send it under its Commercial Terms of Service and Data Processing Addendum. Anthropic does not use this data to train its models, and retains it only as needed to provide the Assistant's response and for its standard trust-and-safety purposes.
11.5 Review Your Output. The AI Assistant may propose or directly apply changes to your document. As with any output of the Service, you are responsible for reviewing those changes before relying on them — see Section 8.
11.6 Availability. We may change, limit, or discontinue the AI Assistant, or change which model or provider powers it, at any time.
We may suspend or terminate your access for violating these Terms, including Section 7, or for non-payment beyond the grace period in Section 4.4. You may stop using the Service and delete your account at any time, subject to Section 5.6.
13.1 Excused Performance. Neither party is liable for any failure or delay in performing its obligations under these Terms where that failure or delay is caused by circumstances beyond its reasonable control — including failure of third-party hosting, cloud, or networking infrastructure we depend on to run the Service, internet or undersea cable disruption, cyberattacks, or power or grid failures (a "Force Majeure Event").
13.2 Business Customers. If you use the Service for purposes related to a trade, business, craft, or profession ("Business Customer") and a Force Majeure Event prevents us from providing the Service for more than 30 consecutive days, either party may terminate the affected subscription on written notice.
13.3 Consumers. If you are an individual using the Service wholly or mainly outside a trade, business, craft, or profession ("Consumer") and a Force Majeure Event prevents us from providing the Service for more than 14 consecutive days, you may cancel immediately and are entitled to a pro-rata refund of any pre-paid fees covering the period the Service was unavailable. Nothing in this section limits your other rights under the Consumer Rights Act 2015.
14.1 We may assign, transfer, or novate these Terms and our rights and obligations under them — including in connection with a merger, acquisition, financing, or sale of assets — without your consent, provided this does not reduce the level of service or the guarantees you are entitled to under these Terms.
14.2 Business Customers. If you are a Business Customer, you may not assign or transfer your account, API keys, or rights under these Terms to a third party without our prior written consent.
14.3 Consumers. If you are a Consumer, you may request to transfer your account by contacting support@nodepen.io. We will not unreasonably refuse a request that does not compromise the security of the Service or another user's Content.
15.1 If any provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid and enforceable or, if it cannot be so modified, severed — and the remaining provisions will continue in full force.
15.2 Consumers. For Consumers, this section does not affect any right these Terms cannot lawfully exclude or limit, including your statutory rights under the Consumer Rights Act 2015.
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
17.1 These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
17.2 Consumers. If you are a Consumer, this section does not deprive you of the protection of any mandatory consumer-protection laws of your country of habitual residence that cannot be excluded by agreement.
